Practice Areas
Our New Jersey lawyers understand the mix of legal and business problems our clients face and focus extensively in the following areas:
Banking and Finance. We have substantial corporate and commercial finance capability, representing both banks and borrowers in commercial loan transactions, as well as leasing transactions, structured financings and complex banking, bank fraud and Uniform Commercial Code litigation.
Commercial Transactions. We negotiate contracts for the sale and purchase of all types of businesses. These include the creation of appropriate business entities for partnership and operating agreements for limited (and family) partnerships as well as limited liability companies. We negotiate and prepare employment and consulting agreements as well as international licensing agreements.
Corporate and Commercial Law. We provide services in all phases of corporate and commercial law, including corporate governance, public offerings and private placements representing issuers and underwriters, securities law compliance, complex corporate finance transactions, mergers and acquisitions, and negotiation and documentation of all forms of commercial arrangements.
Environmental Law. We counsel clients on environmental issues arising out of land use, commercial/industrial real estate, energy and corporate transactions. One of our attorneys, a former deputy attorney general for the state of New Jersey, co-authored New Jersey Brownfields Law, the definitive authority on land redevelopment. We also represent clients in regulatory matters and litigation, including environmental permitting, civil and criminal violations and compliance with federal, state and local land use regulations.
Health Care Law. We represent hospitals, long-term care and assisted living facilities, physicians and third party payers in regulatory matters, mergers and acquisitions, financing, corporate organization and general litigation. One of our lawyers formerly was a New Jersey deputy attorney general, and another has been counsel to a number of hospitals.
Intellectual Property. We provide services in intellectual property law, particularly in the pharmaceutical industry, ranging from leveraging discovery assets toward developing and maintaining market exclusivity and opinion work to ANDA litigation and the evaluation, development, enforcement and defense of rights in the pharmaceutical industry.
Labor and Employment. The firm counsels, negotiates and litigates labor and employment-related problems and disputes for management in the areas of employment discrimination, sexual harassment, restrictive covenants and wrongful discharge. We also advise clients responding to Equal Employment Opportunity Commission, New Jersey Division of Civil Rights and National Labor Relations Board charges and draft employment agreements, handbooks and policies.
Litigation. Our litigators handle a broad range of commercial, Internet, labor and employment, product liability, health care, construction, transportation and energy matters. We litigate cases in federal and state courts in New Jersey, New York and Pennsylvania. We frequently counsel clients with respect to ADR including arbitration, mediation and use of private judges.
Real Estate. We represent real estate developers and borrowers in the acquisition and financing of commercial, residential, industrial, mixed use and public projects. Our clients include developers of office buildings, hotels, entertainment complexes, resorts, restaurants, shopping centers and condominiums and planned communities.
Technology Law. We prepare and negotiate contracts on issues such as development, confidentiality, licensing, marketing, consulting, outsourcing, employment, non-competition, service, applications development, maintenance and multimedia. We advise clients on how to obtain, enforce and perfect intellectual property rights; form and structure new business ventures; and develop company policies on trade secrets and proprietary information.
